Terms of Service
The agreement between you and Smarter Foundry LLC for using Refino. Shorter than most, because Refino does one thing.
Agreement
Refino is operated by Smarter Foundry LLC, a California limited liability company. These Terms are an agreement between you and Smarter Foundry LLC (“we”, “us”). By creating a Refino account or using Refino, you agree to them. If you are using Refino for an organisation, you are agreeing on its behalf and confirming you may do so.
How we handle information is described separately, in the Privacy Policy.
What Refino is
Refino lets the owner of a website edit the words on it directly on the rendered page, and save those edits back into the website’s own source repository as a commit. That is the whole service. It is not a content management system, a page builder, a host or a deployment service, and it does not run, publish or monitor your website.
Refino works with particular kinds of project and hosting arrangements, and those are described on the site as they stand today. We do not promise that Refino will support any given framework, host or provider, or that it will keep supporting one it supports now.
Accounts
You need an account to use Refino, and accounts are created by signing in with GitHub. Your access to Refino therefore depends on your GitHub account: if it is suspended, deleted or made inaccessible, you may lose access to Refino too. GitHub is not ours and we do not control it.
You are responsible for keeping your account secure, including the GitHub account it signs in with, and for what is done through your account. Give us accurate information where we ask for it, and keep it current. Tell us promptly at hello@refino.dev if you think your account has been used without your permission.
Connecting a site, and the access you grant
When you connect a website and its repository to Refino, you authorise us to access and process the content we need in order to provide the service, and to create or submit changes to that repository when you ask us to. In practice that means reading the copy file you nominate and committing a new version of it when you save.
You represent that you own the website and repository you connect, or are authorised by whoever does to grant this access and to make the changes you make. Do not connect a repository you do not have the authority to change.
You can end this access at any time by disconnecting the site in Refino or revoking the token in GitHub.
You own your website and its content
Your website, your source code, your copy and everything else in your repository are yours. Connecting them to Refino, or editing them through it, does not transfer any ownership to us and does not give us any rights in them beyond what is written here.
You grant us only a limited, non-exclusive licence to access, process, display, modify and transmit your content to the extent needed to provide Refino to you — to show you your copy in the editor, and to write the changes you make back to your repository. That licence lasts only as long as you use Refino for that site and covers nothing else. We will not use your content to advertise, to train models, or for any other purpose of our own.
You are responsible for the changes you make
Refino is an editing tool. The words you publish through it are yours, and so are the consequences of publishing them. When Refino writes a commit to your repository on your instruction, the change becomes part of your codebase and is deployed by your own pipeline, on your own hosting.
Review your changes before you publish or deploy them, and test them as far as the change warrants. Refino is built to touch the copy you edit and nothing else, but we cannot promise that a change will have no other effect: what an edit does depends on your codebase, your framework, your configuration, your integrations and your deployment environment, none of which we control. We do not promise that every edit, commit or deployment will be complete, correct or free of error, and we cannot know what a change will do to your site.
Refino does not replace the ordinary safeguards of software development. Review, testing, version control, backups, staging environments and whatever controls you put on deployment are still yours to run, and you should keep running them. Keeping suitable backups and version history for your website, your repository and your content is your responsibility. You have the history by default: every save is an ordinary commit that you can inspect and revert.
To the extent the law allows, we are not responsible for lost content or data, for problems with your repository, for failed deployments, or for layouts or functionality that break as a result of changes made through Refino. Validating a change before it reaches production is yours to do.
Third-party services
Refino depends on services we do not control: GitHub above all, for sign-in and for repository access, and our own hosting, deployment and payment providers. Your website depends on more of them still — its host and deployment platform, its domain registrar and DNS, its framework, the package registries it installs from, and whatever else it integrates. Those services have their own terms and policies, which govern your use of them, and they can change, fail, or change their prices independently of us.
To the extent the law allows, we are not responsible for any outage, error, loss of data, change in behaviour, change to an API, or loss of availability attributable to a service outside our reasonable control, or for the acts, omissions or decisions of whoever runs it. Where a third-party service is part of how Refino works, we will act reasonably, but we cannot guarantee its behaviour.
Acceptable use
You may not:
- use Refino for anything unlawful, or to publish unlawful content;
- connect or change a website or repository you are not authorised to control;
- attempt to reach another user’s account, sites or data;
- interfere with the service, overload it, or try to get around its limits or security; or
- use Refino to distribute malware or to carry out anything harmful or deceptive.
Plans and payment
Refino has a Free plan and a paid Pro plan. The current plans, prices and limits are on the pricing page, and the price shown when you subscribe is the price you pay. If you do not subscribe to a paid plan, the rest of this section does not apply to you.
- Subscriptions recur. A paid plan is billed in advance, monthly or yearly as you choose, and renews automatically for the same period until you cancel.
- Payment is handled by Stripe. You are also subject to Stripe’s terms for the payment itself. Prices are in US dollars and exclude any taxes, which are added where they apply.
- You can cancel at any time. Cancelling stops the next renewal. Your paid plan keeps running to the end of the period you have already paid for, and the account becomes Free after that. Refunds are covered below.
- Nothing is deleted when a plan ends. Sites beyond what the Free plan allows stay connected but stop being editable through Refino. Your published website and your repository are unaffected. Subscribing again makes them editable again.
- Prices can change. We may change prices for future billing periods. We will give reasonable notice before a change affects you, and you can cancel rather than accept it.
Refunds
Monthly plans
You can cancel a monthly plan at any time, and you keep access until the end of the billing period you have paid for. We do not give prorated refunds or credits for part of a month you have already paid for, except where the law requires it.
Annual plans
If you are not happy with an annual plan, ask us for a refund within 14 days of first buying it and we will refund it in full. Write to hello@refino.dev.
After those first 14 days an annual plan is non-refundable, except where the law requires otherwise. You can still cancel whenever you like: cancelling stops the plan renewing, and you keep access for the rest of the year you have paid for.
The 14-day window applies to your first purchase of an annual plan. It does not apply automatically to a renewal of one.
Billing mistakes
If you think you have been charged in error, write to hello@refino.dev and we will look into it. We can also give a refund or a credit in other situations if we think it is the right thing to do.
A product that changes
Refino is under active development. We add features, change them and sometimes remove them. Integrations and supported platforms may change. Nothing on this site or in the product is a commitment to build, keep or continue supporting any particular capability.
Suspension, and ending your use
You can stop using Refino whenever you like: disconnect your sites, cancel a paid plan, and write to us if you want the account closed. Removing Refino from a website is a straightforward code change, and your site and its content carry on without it.
We may suspend or terminate an account that materially breaches these Terms, that is being used unlawfully, that presents a security risk to the service or to other users, or that has not paid for a paid plan. Where it is reasonable to do so, we will tell you first and give you a chance to put it right.
Ending your use of Refino, for any reason and by either side, changes nothing about who owns your website, your repository or your content. They were yours throughout and they stay yours.
Availability
We do not promise that Refino will be available at any particular time or to any particular standard. It can be interrupted, for maintenance or otherwise, and we may change or discontinue parts of it. Where we can reasonably give notice of a significant change, we will.
Disclaimer
Refino is provided “as is” and “as available”. To the maximum extent permitted by applicable law, we make no warranties about it, express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
In particular, we do not warrant that Refino will be uninterrupted, secure or error-free, that it will meet your requirements, that defects will be corrected, or that what it produces — including the commits it writes to your repository — will be accurate or reliable. You use Refino at your own discretion and risk, alongside the safeguards described above.
Some jurisdictions do not allow the exclusion of implied warranties. Where that is so, this section applies to you only as far as the law allows.
Limitation of liability
To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost or corrupted data, loss of goodwill or interruption of service, arising out of or relating to Refino, even if that loss was foreseeable or we were told it was possible.
To the maximum extent permitted by applicable law, our total liability arising out of or relating to Refino, for all claims taken together, is limited to the greater of the amount you paid us for Refino in the twelve months before the event giving rise to the claim, or one hundred US dollars.
These limits apply however a claim is framed — contract, negligence, another tort, or anything else — and they are part of the basis on which Refino is offered at the price it is.
Some jurisdictions do not allow some of these exclusions or limitations. Where that is so, they apply to you only as far as the law allows, and nothing here excludes or limits liability that cannot lawfully be excluded or limited.
Indemnification
You agree to defend and indemnify us against third-party claims, and the reasonable costs of them, arising from your unlawful use of Refino, from your connecting or changing a website or repository you were not authorised to control, or from content you supplied or published through Refino infringing someone else’s rights.
Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
Changes to these Terms
We may change these Terms as Refino changes. Changes apply going forward, and the effective date at the top of this page changes with them. For material changes we will make a reasonable effort to tell account holders before they take effect. If you do not agree to a change, stop using Refino.
